  1. BY OPENING THE ATTACHED SOFTWARE,
  2. YOU ARE CONSENTING TO BE BOUND BY THIS 
  3. AGREEMENT.  IF YOU DO NOT AGREE TO ALL OF THE TERMS OF 
  4. THIS AGREEMENT, PLEASE RETURN THE 
  5. PRODUCT TO THE PLACE OF PURCHASE FOR A FULL REFUND.

  7. LIVEUPDATE CRESCENDO OR CRESCENDO PLUS
  8. END USER LICENSE AGREEMENT
  9. REDISTRIBUTION NOT PERMITTED
  10.  
  11. This Agreement has 3 parts.  Part I applies if you have 
  12. not purchased a license to the accompanying software 
  13. (the "Software").  Part II applies if you have 
  14. purchased a license to the Software.  Part III applies 
  15. to all license grants.  If you initially acquired a copy 
  16. of the Software without purchasing a license and you 
  17. wish to purchase a license, contact LiveUpdate on the 
  18. Internet at http://www.liveupdate.com/crescendo.html.  
  19.  
  20. PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT (YET) PAID (LIMITED
  21. TO EVALUATION, EDUCATIONAL AND NON-PROFIT USE) GRANT.
  22.  
  23. LiveUpdate grants you a non-exclusive license to use the 
  24. Software free of charge if (a) you are a student, 
  25. faculty member or staff member of an educational 
  26. institution (K-12, junior college, college or library) 
  27. or an employee of an organization which meets LiveUpdate's 
  28. criteria for a charitable non-profit organization; or 
  29. (b) your use of the Software is for the purpose of 
  30. evaluating whether to purchase an ongoing license to the 
  31. Software.  The evaluation period for use by or on behalf 
  32. of a commercial entity is limited to 30 days; evaluation 
  33. use by others is not subject to this 30 day limit.  
  34. Government agencies (other than public libraries) are 
  35. not considered educational or charitable non-profit 
  36. organizations for purposes of this Agreement.  If you 
  37. are using the Software free of charge, you are not 
  38. entitled to hard-copy documentation, support or 
  39. telephone assistance.  If you fit within the description 
  40. above, you may use the Software in the manner described 
  41. in Part III below under "Scope of Grant." 
  42.  
  43. DISCLAIMER OF WARRANTY.
  44.  
  45. Free of charge Software is provided on an "AS IS" 
  46. basis, without warranty of any kind, including without 
  47. limitation the warranties of merchantability, fitness 
  48. for a particular purpose and non-infringement.  The 
  49. entire risk as to the quality and performance of the 
  50. Software is borne by you.  Should the Software prove 
  51. defective, you and not LiveUpdate assume the entire cost 
  52. of any service and repair.  In addition, the security 
  53. mechanisms implemented by LiveUpdate software have 
  54. inherent limitations, and you must determine that the 
  55. Software sufficiently meets your requirements.  This 
  56. disclaimer of warranty constitutes an essential part of 
  57. the agreement.  SOME JURISDICTIONS DO NOT ALLOW 
  58. EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER 
  59. MAY NOT APPLY TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS 
  60. THAT VARY BY JURISDICTION.  
  61.  
  62. PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  63.  
  64. GRANT.  Subject to payment of applicable license fees, 
  65. LiveUpdate grants to you a non-exclusive license to use 
  66. the Software and accompanying documentation 
  67. ("Documentation") in the manner described in Part III 
  68. below under "Scope of Grant." 
  69.  
  70. LIMITED WARRANTY.
  71.  
  72. LiveUpdate warrants that for a period of thirty (30) days 
  73. from the date of acquisition, the Software, if operated 
  74. as directed, will substantially achieve the 
  75. functionality described in the Documentation.  LiveUpdate 
  76. does not warrant, however, that your use of the Software 
  77. will be uninterrupted or that the operation of the 
  78. Software will be error-free or secure. 
  79. LiveUpdate also warrants that the media containing the 
  80. Software, if provided by LiveUpdate, is free from defects 
  81. in material and workmanship and will so remain for 
  82. thirty (30) days from the date you acquired the 
  83. Software.  LiveUpdate's sole liability for any breach of 
  84. this warranty shall be, in LiveUpdate's sole discretion: 
  85. (i) to replace your defective media; or (ii) to advise 
  86. you how to achieve substantially the same functionality 
  87. with the Software as described in the Documentation 
  88. through a procedure different from that set forth in the 
  89. Documentation; or (iii) if the above remedies are 
  90. impracticable, to refund the license fee you paid for 
  91. the Software.  Repaired, corrected, or replaced Software 
  92. and Documentation shall be covered by this limited 
  93. warranty for the period remaining under the warranty 
  94. that covered the original Software, or if longer, for 
  95. thirty (30) days after the date (a) of shipment to you 
  96. of the repaired or replaced Software, or (b) LiveUpdate 
  97. advised you how to operate the Software so as to achieve 
  98. the functionality described in the Documentation.  Only 
  99. if you inform LiveUpdate of your problem with the Software 
  100. during the applicable warranty period and provide 
  101. evidence of the date you purchased a license to the 
  102. Software will LiveUpdate be obligated to honor this 
  103. warranty.  LiveUpdate will use reasonable commercial 
  104. efforts to repair, replace, advise or, for individual 
  105. consumers, refund pursuant to the foregoing warranty 
  106. within 30 days of being so notified.  
  107.  
  108. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY 
  109. MADE BY LIVEUPDATE.  LIVEUPDATE MAKES NO OTHER EXPRESS 
  110. WARRANTY AND NO WARRANTY OF NONINFRINGEMENT OF THIRD 
  111. PARTIES' RIGHTS.  THE DURATION OF IMPLIED WARRANTIES, 
  112. INCLUDING WITHOUT LIMITATION, WARRANTIES OF 
  113. MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE, 
  114. IS LIMITED TO THE ABOVE LIMITED WARRANTY PERIOD; SOME 
  115. JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN 
  116. IMPLIED WARRANTY LASTS, SO LIMITATIONS MAY NOT APPLY TO 
  117. YOU.  NO LIVEUPDATE DEALER, AGENT, OR EMPLOYEE IS 
  118. AUTHORIZED TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR 
  119. ADDITIONS TO THIS WARRANTY.  If any modifications are 
  120. made to the Software by you during the warranty period; 
  121. if the media is subjected to accident, abuse, or 
  122. improper use; or if you violate the terms of this 
  123. Agreement, then this warranty shall immediately be 
  124. terminated.  This warranty shall not apply if the 
  125. Software is used on or in conjunction with hardware or 
  126. software other than the unmodified version of hardware 
  127. and software with which the software was designed to be 
  128. used as described in the Documentation.  THIS WARRANTY 
  129. GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER 
  130. LEGAL RIGHTS THAT VARY BY JURISDICTION.  
  131.  
  132. PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS
  133.  
  134. SCOPE OF GRANT.
  135.  
  136. You may:
  137. * use the Software on any single computer;
  138. * use the Software on a network, provided that each
  139.   person accessing the Software through the network
  140.   must have a copy licensed to that person;
  141. * use the Software on a second computer so long as only
  142.   one copy is used at a time;
  143. * copy the Software for archival purposes, provided any
  144.   copy must contain all of the original Software's
  145.   proprietary notices.
  146.  
  147. You may not:
  148. * permit other individuals to use the Software except
  149.   under the terms listed above;
  150. * permit concurrent use of the Software;
  151. * modify, translate, reverse engineer, decompile,
  152.   disassemble (except to the extent applicable laws 
  153.   specifically prohibit such restriction), or create 
  154.   derivative works based on the Software;
  155. * copy the Software other than as specified above;
  156. * rent, lease, grant a security interest in, or
  157.   otherwise transfer rights to the Software; or
  158. * remove any proprietary  notices or labels on the
  159.   Software.
  160.  
  161. TITLE.
  162.  
  163. Title, ownership rights, and intellectual property 
  164. rights in the Software shall remain in LiveUpdate and/or 
  165. its suppliers.  The Software is protected by the 
  166. copyright laws and treaties.  Title and related rights 
  167. in the content accessed through the Software is the 
  168. property of the applicable content owner and may be 
  169. protected by applicable law.  This License gives you no 
  170. rights to such content.  
  171.  
  172. TERMINATION.
  173.  
  174. The license will terminate automatically if you fail to 
  175. comply with the limitations described herein.  On 
  176. termination, you must destroy all copies of the Software 
  177. and Documentation.  
  178.  
  179. EXPORT CONTROLS.
  180.  
  181. None of the Software or underlying information or 
  182. technology may be downloaded or otherwise exported or 
  183. reexported (i) into (or to a national or resident of) 
  184. Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria 
  185. or any other country to which the U.S.  has embargoed 
  186. goods; or (ii) to anyone on the U.S.  Treasury 
  187. Department's list of Specially Designated Nationals or 
  188. the U.S.  Commerce Department's Table of Denial Orders.  
  189. By downloading or using the Software, you are agreeing 
  190. to the foregoing and you are representing and warranting 
  191. that you are not located in, under the control of, or a 
  192. national or resident of any such country or on any such 
  193. list.

  196. LIMITATION OF LIABILITY.  UNDER NO CIRCUMSTANCES AND 
  197. UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, 
  198. SHALL LIVEUPDATE OR ITS SUPPLIERS OR RESELLERS BE LIABLE 
  199. TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, 
  200. INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER 
  201. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF 
  202. GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR 
  203. MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR 
  204. LOSSES.  IN NO EVENT WILL LIVEUPDATE BE LIABLE FOR ANY 
  205. DAMAGES IN EXCESS OF THE AMOUNT LIVEUPDATE RECEIVED FROM 
  206. YOU FOR A LICENSE TO THE SOFTWARE, EVEN IF LIVEUPDATE 
  207. SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH 
  208. DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.  THIS 
  209. LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR 
  210. DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW 
  211. PROHIBITS SUCH LIMITATION.  FURTHERMORE, SOME 
  212. JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION 
  213. OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS 
  214. LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.

  216.   
  217. MISCELLANEOUS.
  218.  
  219. If the copy of the Software you received was accompanied 
  220. by a printed or other form of "hard-copy" End User 
  221. License Agreement whose terms vary from this Agreement, 
  222. then the hard-copy End User License Agreement governs 
  223. your use of the Software.  This Agreement represents the 
  224. complete agreement concerning this license and may 
  225. amended only by a writing executed by both parties.  THE 
  226. ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS 
  227. EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS 
  228. SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER.  
  229. If any provision of this Agreement is held to be 
  230. unenforceable, such provision shall be reformed only to 
  231. the extent necessary to make it enforceable.  This 
  232. Agreement shall be governed by Massachussetts law (except 
  233. for conflict of law provisions).  The application the 
  234. United Nations Convention of Contracts for the 
  235. International Sale of Goods is expressly excluded.  
  236.  
  237. U.S.  GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or 
  238. disclosure by the Government is subject to restrictions 
  239. set forth in subparagraphs (a) through (d) of the 
  240. Commercial Computer-Restricted Rights clause at FAR 
  241. 52.227-19 when applicable, or in subparagraph (c)(1)(ii) 
  242. of the Rights in Technical Data and Computer Software 
  243. clause at DFARS 252.227-7013, or at 252.211-7015, or to 
  244. LiveUpdate's standard commercial license, as applicable, 
  245. and in similar clauses in the NASA FAR Supplement.
